Terms of Service

1. Who you are contracting with

These Terms of Service ("Terms") are an agreement between you and Green Farms ("Green Farms", "we", "us"), the provider of the Green Farms platform and related services (collectively, the "Service"). By creating an account, accessing, or continuing to use the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you are using the Service as an individual, you confirm you are of legal age in your jurisdiction.

2. The Service

Green Farms provides remote-sensing-based farm scoring, embeddable widgets, agent dashboards, and related reports. The outputs of the Service are informational guides, not official carbon credits, formal certifications, or financial, legal, or investment advice.

3. Acceptable use

You agree not to misuse the Service. In particular, you must not:

• Use the Service for any unlawful, fraudulent, or harmful purpose;
• Send spam, phishing, or other abusive communications through the Service;
• Infringe the intellectual-property rights, privacy, or other rights of any person;
• Probe, scan, or test the vulnerability of the Service, or attempt to circumvent any security or technical limitation;
• Upload malware, automated scrapers, or any other harmful content; or
• Resell or redistribute the Service except under a plan that explicitly permits it.

4. Accounts and credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date.

5. Intellectual property

Green Farms and its licensors retain all right, title, and interest in the Service, including all software, models, branding, and documentation. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. You must not reverse engineer the Service, resell it (except under an Agency or Enterprise plan), or circumvent its technical limits.

You retain ownership of any farm boundaries, KMZ files, descriptions, and other content you submit ("User Content"). You grant us a worldwide, non-exclusive licence to host and process User Content solely to provide and improve the Service.

6. Payments, billing, and refunds (Merchant of Record)

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax collection, cancellation, and refund mechanics are governed by the Paddle Checkout Buyer Terms. Our own refund process is described in our Refund Policy. Subscription plans renew automatically at the end of each billing period unless cancelled.

7. Service availability

We work hard to keep the Service available, but we do not guarantee that it will be uninterrupted, error-free, or that the outputs will be free of inaccuracies. The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the Service is limited to the fees you paid to us (via Paddle) in the twelve months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law.

9. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts due, present a security or fraud risk, or repeatedly violate our acceptable-use rules. You may stop using the Service at any time; cancellation of paid plans is handled through the Paddle customer portal and follows our Refund Policy.

On termination, your access ends and we may delete your User Content after a reasonable retention period. You may export your data before termination by contacting support.

10. Indemnity

You agree to indemnify and hold Green Farms harmless from any claims arising out of your User Content, your unlawful use of the Service, or your breach of these Terms.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the Republic of South Africa. The courts of South Africa have exclusive jurisdiction, subject to any non-waivable consumer rights in your country of residence.
